By accessing and using the services provided by Adepter.co, agree to be bound by these Terms & Conditions. If you do not agree to these terms, you should discontinue the use of our services immediately.
We specialise in paid advertising, email marketing, and SMS marketing. However, we have provided clients with web design services in the past. The scope of our services will be defined in the Service Agreement signed by both parties and may include:
- Development, management, and optimisation of paid advertising campaigns on platforms such as Google Ads, Facebook Ads, and others.
- Creation and execution of email marketing campaigns, including content creation, distribution, and analytics.
- Implementation and management of SMS marketing campaigns, including compliance with applicable laws and regulations.
To ensure the success of our services, the Client agrees to:
- Provide accurate and complete information about their business, products, or services.
- Approve content, advertisements, or campaigns in a timely manner.
- Ensure compliance with local, state, and federal laws applicable to their industry.
- Obtain all necessary permissions and consents for email and SMS campaigns (e.g., opt-in compliance).
Failure to meet these obligations may impact the results of your campaigns, for which we cannot be held liable.
- Fees for services will be outlined in your Service Agreement or Proposal.
- All fees are non-refundable unless explicitly stated otherwise in writing. If guarantee is met
- Payment is due as specified in the invoice, typically before services commence or on a monthly basis for ongoing work.
- Late payments may result in a suspension of services until the balance is cleared.
- Any third-party software, tools, or platforms used during service delivery remain the property of their respective owners.
- Upon payment, the Client receives a non-exclusive license to use these materials solely for the purposes defined in the agreement.
- Any creative materials, advertisements, or content developed during the service period remain the property of Adepter.co until all payments are made in full.
We will make every effort to achieve the best possible results for your campaigns. However, we cannot guarantee (At this point we do refund our fee). Factors that may influence the campaigns:
- Specific outcomes, such as increased revenue, leads, or engagement.
- Results that may be influenced by factors outside our control, including market conditions, platform algorithm changes, or Client-provided information.
The Client agrees to comply with all applicable laws and regulations, including but not limited to:
Email Laws
- Email marketing laws such as CAN-SPAM, GDPR, and CASL.
SMS Laws
- SMS marketing laws, including TCPA compliance.
Advertising regulations applicable to their industry.
We are not liable for any legal actions resulting from non-compliance on the part of the Client.
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. Neither party shall disclose such information to any third party without prior written consent, except as required by law.
Either party may terminate the agreement by providing 14 days' written notice
Upon termination, all outstanding payments must be settled immediately.
Any incomplete campaigns or deliverables will be halted, and materials may only be provided at our discretion, subject to additional charges.
To the fullest extent permitted by law, Adepter.co is not liable for:
- Any indirect, incidental, or consequential damages arising from the use of our services.
- Losses caused by third-party platforms, including but not limited to account suspensions, policy violations, or platform outages.
Our total liability under this agreement shall not exceed the fees paid by the Client in the preceding three months.
Our services often involve the use of third-party platforms such as Google, Facebook, Instagram, Tiktok, and more. The Client agrees to comply with these platforms' terms of service and acknowledges that we are not responsible for changes, disruptions, or decisions made by these platforms.
